Astralwave International LLC is a Wyoming registered limited liability company. Our operational principal place of business is 1621 Central Ave, Cheyenne, WY 82001, USA. We engage in industrial general trading, sourcing, and product distribution. All information on this Website is indicative only; final binding commercial terms (pricing, quantity, specifications) exist exclusively within executed written Sales and Purchase Agreements (SPAs) or Proforma Invoices, which shall interpret shipping terms under Incoterms 2020.

a. Invoicing and Duties: Tax and Logistics
Invoices are raised under U.S. federal and state laws. Buyers act as the Importer of Record and assume sole liability for all local sales/use taxes, import tariffs, customs clearance, and port fees.
b. Strict Payment Ageing Allocation: Debt Priority
Payments received are automatically applied to the oldest outstanding invoice balance first, regardless of counterparty notations. Partial payments cover outstanding principal before late fees.
c. Overdue Penalties and Suspension: Default Enforcement
Overdue accounts accrue interest at one point five percent (1.5%) per month (18% per annum) or the maximum legal rate. We reserve the absolute right to suspend sourcing, halt transit shipments, and cancel orders upon payment default.
5 Absolute Trade Compliance & Sanctions
The counterparty expressly represents and warrants that neither it, nor its parent companies or Ultimate Beneficial Owners (UBOs):
- Are listed on, or owned fifty percent (50%) or more by anyone on, any U.S. or international restricted lists, including the Office of Foreign Assets Control's (OFAC) SDN List or the U.S. Department of Commerce's Entity List.
- Will source, route, re-export, or divert goods purchased from us to any country or entity subject to comprehensive U.S. trade sanctions (including Iran, North Korea, Syria, Cuba, or heavily sanctioned regions of Ukraine) in violation of the Export Administration Regulations (EAR).
6 Intellectual Property & Website Content

These Terms shall be governed by the laws of the State of Wyoming. Any dispute that cannot be settled amicably within thirty (30) days shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Cheyenne, Wyoming, under its Commercial Rules.
Severability & Entire Agreement: If any clause is found invalid by an arbitrator, it shall be modified to the minimum extent necessary, and the remaining provisions shall stand. These terms, alongside our Privacy Policy, constitute the entire agreement between the parties regarding Website use.
